The Italian Shareholder-Director Exchange (I-SDX) aims to provide to institutional investors and companies a range of principles and possible solutions to facilitate shareholder-director engagement. These principles are intended to provide a framework for achieving effective and mutually beneficial S-D engagement, by outlining a set of clear and transparent principles and procedures that can underpin engagement processes, with a view ultimately to enabling harmonization between different sets of governance standards. I-SDX draws on the first set of voluntary best practices on the subject (i.e. the SDX Protocol, published in 2014 by the Shareholder-Director Exchange Group in the USA) and it was developed with the assistance of Italian investment managers and international institutional investors that represent more than 15.000 billion of asset under management. These principles are the result of an analysis undertaken by Assogestioni with the technical assistance of AISCA – the Italian association of board secretaries – and a Legal Panel. I-SDX was presented during a seminar organized by the Italian National Council for Economics and Labor (CNEL) and Assogestioni last October and further fine-tuned thanks to the inputs from different stakeholders.
